These Terms and Conditions govern your use of Heartwood's property rental services in Chiang Mai, Thailand. By contacting us, submitting an enquiry, or engaging our services, you agree to the terms set out below. Please read them carefully โ they are written in plain language and won't take long.
1. Definitions
Throughout these Terms the following words carry specific meanings:
- "Heartwood" / "We" / "Us" โ Heartwood property rental services, operating at 103 Suthep Road, Chiang Mai 50200, Thailand.
- "Client" / "You" โ any individual who contacts Heartwood, submits an enquiry form, or engages our services.
- "Services" โ university-area apartment search, long-stay home search assistance, and monthly tenancy support, as described on this website.
- "Agreement" โ these Terms and Conditions together with any written service confirmation sent by Heartwood.
- "Property" โ any residential unit sourced, presented, or managed through Heartwood's services.
2. Acceptance of Terms
By using this website or engaging Heartwood's services, you confirm that:
- You are at least 18 years of age and legally capable of entering into binding agreements.
- The information you provide during enquiry is accurate and complete.
- You have read and understood these Terms before proceeding.
3. Service Description
Heartwood provides property rental facilitation services in Chiang Mai. Our three core offerings are:
- University-Area Apartment Search โ identifying and presenting short-stay options near Chiang Mai University and related institutions.
- Long-Stay Home Search โ curating longer-term rental options matched to your stated requirements, lifestyle, and budget.
- Monthly Tenancy Support โ assisting with lease understanding, communication with landlords, and day-to-day tenancy queries during your stay.
Heartwood acts as a facilitator. We are not a party to any lease agreement between a client and a landlord. Service availability is subject to property market conditions and staffing capacity.
4. Client Responsibilities
When working with Heartwood you agree to:
- Provide honest and complete information about your requirements, budget, and timeline.
- Respond to communications in a timely manner.
- Attend or confirm property viewings as arranged.
- Not use this website or our services for any unlawful or fraudulent purpose.
- Respect the rights and property of landlords and third parties introduced through our services.
5. Acceptable Use
You may not use this website or Heartwood's services to:
- Transmit false, misleading, or defamatory content.
- Harvest contact details or property information for commercial re-use without written consent.
- Attempt to circumvent our fee structure by approaching landlords directly after introduction.
- Engage in any activity that disrupts or damages our website or systems.
6. Intellectual Property
All content on this website โ including text, images, layout, branding, and descriptive materials โ belongs to Heartwood or its licensed suppliers. You may view and print pages for personal, non-commercial use only. Any reproduction, redistribution, or commercial use of our content without prior written permission is prohibited. Property listings shared with you during a search engagement are for your personal use and must not be forwarded or published.
7. Fees and Payment
Heartwood's fee structure is discussed and agreed in writing before services commence. General principles:
- Fees are denominated in Thai Baht (THB) unless otherwise agreed in writing.
- An initial consultation is provided without charge. Search and support services carry fees as confirmed per engagement.
- Payment is due upon the milestone or schedule set out in your written service confirmation.
- Refunds are considered on a case-by-case basis where services could not be delivered due to circumstances within Heartwood's control.
8. Disclaimers
Heartwood provides services on an "as available" basis. While we work carefully and diligently on every search, we cannot guarantee:
- That a specific property type, location, or price point will be available at any given time.
- That a landlord will accept a tenancy application.
- That property descriptions or images provided by landlords are fully accurate โ clients should verify conditions in person.
This website is provided for informational purposes. Nothing on it constitutes legal, financial, immigration, or investment advice.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Heartwood's total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or special losses including loss of opportunity, lost deposits paid directly to landlords, or expenses arising from tenancy disputes between you and a landlord.
10. Indemnification
You agree to indemnify and hold harmless Heartwood, its staff, and its contractors from any claims, damages, or expenses arising from your breach of these Terms, your misuse of our services, or any false information you provided during the engagement process.
11. Termination
Either party may end a service engagement by written notice. Upon termination:
- Fees for completed work remain payable.
- Any property referrals made before termination remain subject to the no-circumvention clause in Section 5.
- Heartwood may decline to accept future engagements from a client who has breached these Terms.
12. Dispute Resolution
We prefer to resolve disputes informally. If you have a concern, please contact us at [email protected] and we will respond within 5 business days. If informal resolution fails, disputes shall be subject to the jurisdiction of the courts of Chiang Mai Province, Thailand, governed by Thai law.
13. Third-Party Links
Our website may include links to landlord listings, local service providers, or community resources. Heartwood is not responsible for the content or privacy practices of those third-party sites.
14. Changes to These Terms
We may update these Terms from time to time to reflect service changes or legal requirements. The updated version will be posted on this page with a revised effective date. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
15. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce a right does not constitute a waiver of that right. These Terms represent the entire agreement between you and Heartwood regarding use of our services and supersede any prior communications on the same subject.
